- Binding Agreement
These Terms of Service (these “Terms”) constitute a legally binding agreement between you (whether personally or on behalf of an entity, “you” or “your”) and PawPermit (“PawPermit”), “we”, “us”, or “our”) concerning your access to and use of the PawPermit’s services, including our website located at https://pawpermit.com, mobile applications, APIs, and all related services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, at https://pawpermit.com/privacy, which is incorporated herein by reference.

Eligibility And Account Registration
Eligibility Requirements
To use the Service, you must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is older), have the legal capacity to enter into a binding contract, not be barred from using the Service under applicable law, and be located in a jurisdiction where the Service is offered. If you are working for an organization, please see Section 3.5 Organizational Accounts.
Account Creation
To access certain features, you must create an Account by providing accurate and complete information, including, your full legal name, valid email, and secure password.
Account Accuracy and Updates
You agree to provide us with accurate, current, and complete information during registration. Then to maintain and promptly update your Account information. You are responsible for all activities that occur under your Account. If there are any unauthorized uses of your Account, it is your responsibility to notify us immediately.
Account Security
You are responsible for maintaining the confidentiality of your password and Account credentials. Monitoring all activities that occur under your Account, whether or not authorized by you, and ensuring you log out at the end of each session, especially on shared devices.
We are not liable for any loss or damage arising from your failure to maintain Account security.
Organizational Accounts
If you create an Account on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. The organization is responsible for all activity under the Account and understand that references to “you” in the Terms include both you individually and the organization.
Account Termination Rights
We reserve the right to suspend or terminate your Account at any time, with or without notice, for:
- A Violation of these Terms;
- Fraudulent, abusive, or illegal activity by you;
- A extended periods of inactivity of 3 months by the you; or
- At our sole discretion for any reason.
Changes To Terms
Right to Modify
We reserve the right to modify these Terms at any time, in our sole discretion. All changes take effect upon posting to the Service unless otherwise stated.
Your Options After Changes
If you do not agree to new or modified Terms, you may terminate your Account before the new or modified Terms are in effect. Use after the effective date of any new or modified Terms, continued use constitutes acceptance of the new or modified Terms/
Access To The Service
License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for a use appropriately considered by the Terms and as indicated on any domain or website. The license also includes a grant to download and use our mobile applications on devices you own or control.
License Restrictions
You may not, (1) modify, copy, or create derivative works of the Service or PawPermit’s Content, (2) reverse engineer, decompile, or disassemble the Service, (3) remove, alter, or obscure any proprietary notices, (4) use the Service for any commercial purpose not expressly authorized, (5) rent, lease, lend, sell, redistribute, or sublicense the Service, or (6) use the Service to build a competitive product or service.
Service Availability
We strive to provide reliable Service, but we do not guarantee our service will be uninterrupted or error-free operation. Further, that defects will be corrected and that the Service is free from viruses or harmful components.
We reserve the right to modify, suspend, or discontinue the Service (or any part) at any time, impose limits on certain features or restrict access to parts or all of the Service. Further, we also reserve the right to perform scheduled and emergency maintenance for any Service.
User Content And Licensing
User Content Ownership
You retain all ownership rights in and to your User Content. We do not claim ownership of any Content you submit, post, or display on or through the Service.
License Grant to PawPermit
By submitting User Content, you grant PawPermit a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works, distribute, perform, and display from your User Content. This may be in any format or medium whether currently known or developed in the future.
Further, you grant the PawPermit a non-revokable license to reproduce, adapt, or store any User Content provided, solely for archival purposes.
User Content Representations and Warranties
You represent and warrant that (1) You own or have obtained all necessary rights, licenses, and permissions for your User Content, (2) Your User Content does not and will not infringe, violate, or misappropriate any third-party rights, (3) You have obtained all necessary consents from individuals whose personal information or likeness appears in your User Content, and (4) Your User Content complies with these Terms and all applicable laws.
User Content Responsibility
You are solely responsible for all User Content you submit and the consequences of sharing it, maintaining backup copies of your User Content, and Ensuring accuracy and legality of your User Content.
We are not responsible for and do not endorse any User Content.
We do not pre-screen User Content, but we reserve the right to review, monitor, and remove User Content at our sole discretion.
Public Content
Certain User Content may be viewable by other users or the public, depending on your privacy settings and the nature of the Service. Content posted to public forums will be visible to all users and may be indexed by search engines.
Feedback
If you provide feedback, suggestions, or ideas about the Service (“Feedback”), we may use it without restriction or compensation to you. You represent that the Feedback is provided voluntarily and we have no obligation to keep it confidential. Additionally, you waive any rights in improvements or features we develop based on Feedback
Content Removal and Backup
You may delete your User Content through your account or by contacting us at support@pawpermit.com. Upon deletion your User Content will be removed from active Service within a reasonable time. Backup copies may persist through our data management systems and may be kept for archival purposes only. Some User Content may remain visible to users with whom you shared it.
Intellectual Property Rights
PawPermit Ownership
The Service and PawPermit’s Content, including but not limited to the text, graphics, logos, icons, images, audio, video, software, compilation, organization, display of Content, and all software, code, and technology underlying the Service. The trademarks, service marks, and trade names are owned by or licensed to PawPermit. All of the PawPermit’s intellectual property are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Trademarks
PawPermit, and the PawPermit logo are trademarks or registered trademarks of PawPermit. You may not use our trademarks without our prior written permission, except as necessary to identify our Service
Permitted Uses
You may view, print, and download PawPermit Content solely for noncommercial use, use our mobile applications as permitted by the applicable app store terms.
Prohibited Uses
You may not (1) reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform PawPermit’s Content beyond permitted uses; (2) remove, alter, or obscure any copyright, trademark, or other proprietary notices; (3)frame or mirror any part of the Service, without our consent; (4) use any robot, spider, scraper, or automated means to access the Service; (5) use our services as training materials for artificial intelligence; and (6) circumvent any access restrictions, digital rights management, or security measures.
Prohibited Conduct
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not use the Service:
- in any way that violates any applicable federal, state, local, or international law or regulation; to engage in any conduct that is fraudulent, deceptive, or misleading;
- to violate or infringe the rights of others, including privacy, publicity, intellectual property, or other proprietary rights;
- to introduce or attempt to introduce viruses, malware, or other malicious code;
- to gain or attempt to gain unauthorized access to the Service, other Accounts, or computer systems or networks;
- to interfere or attempt to interfere with or disrupt the Service, servers, or networks;
- to impose an unreasonable load on our infrastructure;
- to circumvent or attempt to circumvent any security features or usage limits;
- to harass, abuse, threaten, or intimidate others;
- to impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;

- to use the Service for any commercial purpose not expressly authorized.
Prohibited Content

- depicts or promotes violence, discrimination, or hatred against individuals or groups;
- facilitates illegal activity or violates the rights of others;
- contains child sexual abuse material (CSAM) or content exploiting minors;
- contains viruses, malware, or other harmful code;
- includes personal information of others without consent;
- reveals trade secrets or confidential information without authorization; or
- constitutes spam, phishing, or other forms of unsolicited contact.
Enforcement
We reserve the right, but have no obligation, to monitor User Content and user activity. WE may also investigate potential violations of the Terms. If we determine that there was a prohibited use that occurred, we may suspend or terminate the Account, if appropriate, report that activity to law enforcement with our full cooperation. If there is prohibited content found, then we reserve the right to remove or disable access to that content, and, if appropriate, report that activity to law enforcement with our full cooperation. We may take any of these actions without prior notice and at our discretion.
No Obligation to Monitor
We have no obligation to monitor User Content or user activity, and we are not responsible for User Content or the actions of our users. Our review or removal of some Content does not imply we review all Content.
Reporting Violations
If you become aware of violations of these Terms, please report them to support@pawpermit.com.
Third-Party Services
Use of Third-Party Service Providers
Our Services utilize third-party service providers, including payment processors such as Stripe, Inc. (“Stripe”), and other vendors, such as Amazon Web Services (“AWS”) (collectively, “Third-Party Services”). By using our Services, you acknowledge and agree that your interactions with these Third-Party Services are governed by their respective terms of service and privacy policies.
User Agreement to Third-Party Terms
When you use our Services, you may be required to:
- register directly with one or more Third-Party Services;
- agree to the terms of service, privacy policies, and other agreements of such Third-Party Services;
- provide information directly to such Third-Party Services; and
- comply with all requirements, restrictions, and obligations imposed by such Third-Party Services.
You are responsible for reviewing and complying with all applicable Third-Party Service terms. Your failure to comply with any Third-Party Service terms may result in suspension or termination of your access to our Services.

PAYMENT TERMS
Fees and Pricing
We offer our service as at two separate plans.
Free Plan. You sign up for an account and upload information about your pet. This plan is free.
Pet Business Plan. For enterprise clients who wish to have health information of the pets, who subscribe to the Free Plan, at their locations. This plan is a subscription based service.
Current pricing is available at https://pawpermit.com/pricing. All fees are in United States Dollars unless otherwise stated.
Billing
Subscription Services:
You will be billed according to the terms of the plan You selected. These specific terms are available at https://pawpermit.com/pricing. These fees are non-refundable except as expressly provided in these Terms or required by law. You explicitly authorize us to charge Your payment method on each billing date.
Payment Methods
We accept payment via major credit cards, Stripe, and ACH transfer for select customers. These payments may be made through a Third-Party Service Provider.
Price Changes
We may change our fees at any time. We will attempt to provide at least 30 days' notice of price increases. The price changes take effect on your next billing cycle. If you do not agree, please cancel before the change takes effect
Late Payment
If payment fails or is declined, we may suspend or terminate your access to paid. You will still remain liable for all unpaid fees, as well as the cost for collection and reasonable attorney fees.
Refund Policy
Generally, all fees are non-refundable. If there are special circumstances, please contact us
SUBSCRIPTION AND CANCELLATION
Subscription Plans
We offer the following Subscription plans:
Free Plan. You sign up for an account and upload information about your pet. This plan is free.
Pet Business Plan. For enterprise clients who wish to have health information of the pets, who subscribe to the Free Plan, at their locations. This plan is a subscription based service.

Subscription Term
Your Subscription continues on a basis as set forth in the plan you selected or offered at https://pawpermit.com/pricing, in the event that the term is not defined, then your subscription will renew on a monthly basis until you cancel or we terminate it. Your Subscription automatically renews at the end of each term unless you cancel before the renewal date. You will be charged the then-current fee for the renewal term.
Cancellation by You
You may cancel your Subscription at any time in your account settings or by contacting us at support@pawpermit.com. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that time. Except as required by law or expressly stated in these Terms, you will not receive a refund for the unused portion of your Subscription upon cancellation.
Cancellation by Us
We may suspend or terminate your Subscription at any time for violation of these Terms or immediately for fraudulent, illegal, or abusive conduct.

PawPermit respects intellectual property rights and responds to clear notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) (“DMCA”).

If you believe that Content on the Service infringes your copyright, send a written notice to our designated Copyright Agent containing:

Termination And Suspension
Suspension
We may suspend your account, with or without notice, for violations of these Terms. The decision to suspend or terminate an Account is solely our discretion. Any Account that has been suspended will not be able to access our services for the duration of the suspension. The severity of the infraction will determine the duration of the suspension. Once you are no longer suspended, your Account will have full functionality restore. While an Account is suspended, you are still responsible for fees owed by the Account. Multiple suspensions may result in a termination of an Account.
Termination by You
You may terminate your Account at any time by deleting your account or contacting us at support@pawpermit.com. Upon termination, all of your access to the Service will cease. We may delete your information in accordance with our data retention policies. However, you remain liable for any outstanding fees, if there are any.
Termination by Us
We may terminate or suspend your Account or access to the Service, with or without notice.
Termination by Us with Notice
You will be provided notice of termination for your Account if we discontinue services, you have been inactive for 6 months, or you have breached these Terms but have a 30 day period to cure.
Termination by Us Without Notice
We will terminate your account immediately, without notice if we determine there are or have been serious or repeated violations of these Terms. If we determine you are engaged in fraudulent, illegal, or abusive conduct. Finally, we may use our sole discretion and terminate your account without notice if we believe your conduct poses a credible liability or harm to us or others.
Effect of Termination
Upon termination or suspension all of your outstanding fees become immediately due. You must cease all use of the Service and any licenses granted to you terminate. Any provisions in the Terms intended to last beyond termination of the relationship do so. Further, termination and suspension are not the sole remedy for harm to us.
No Liability for Termination
To the maximum extent permitted by law, we are not liable to you or any third party for termination or suspension of your access to the Service.

Exceptions
The limitations in this Section 16 does not apply to personal injury or property damage caused by our negligence; fraud or fraudulent misrepresentation by PawPermit, gross negligence or willful misconduct by PawPermit; violations of applicable law where PawPermit’s liability cannot be limited; or your indemnification obligations under Section 17.
Essential Purpose
You acknowledge that the limitations in this Section reflect a reasonable allocation of risk. The fees (if any) reflect these limitations and are an essential basis of the bargain between you and PawPermit. We would not provide the Service without these limitations.
Jurisdictional Limitations
Some jurisdictions do not allow limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
Claims Must Be Filed Promptly
Any cause of action or claim you may have arising out of or relating to these terms of use or the website must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.

You agree to defend, indemnify and hold harmless the Organization, its, affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website's content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.
Our Right to Participate
Even if we do not assume control of the defense, we have the right to participate in the defense at our own expense.
Survival
Your indemnification obligations survive termination of these Terms and your use of the Service.
Dispute Resolution
Binding Arbitration
You and PawPermit agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services (each, a “Dispute”) will be resolved by binding arbitration administered by Judicial Arbitration and Mediation Services (“JAMS”), rather than in court, except that you may assert claims in small claims court if your claims qualify. To begin arbitration, submit a demand for arbitration to JAMS and send a copy to us at our address below. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Arbitration Fees and Costs
You are responsible for filing fees as provided in the arbitration provider's rules, unless you demonstrate financial hardship and we do not waive the fees. We will pay the remaining arbitration fees, including the arbitrator's fees. The arbitrator shall have discretion to allocate arbitration fees and costs between the parties based on the outcome of the arbitration and the reasonableness of each party's positions and conduct during the proceedings. Discovery is limited as provided in the Rules to ensure efficient and cost-effective resolution. The arbitrator may award any relief available in court under applicable law, and the arbitrator's decision is binding and final, except for limited review under the Federal Arbitration Act. All arbitration proceedings are confidential, and neither party may disclose the existence, content, or results except as required by law or to enforce the award.
NO CLASS ACTIONS OR REPRESENTATIVE PROCEEDINGS. YOU AND PawPermit AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT ON A CLASS, REPRESENTATIVE, OR CONSOLIDATED BASIS. You and PawPermit waive any right to participate in a class action (whether in court or arbitration), serve as a class representative or member, participate in consolidated or representative proceedings, or join or consolidate claims with claims of other persons. If this class action waiver is found unenforceable, the entire arbitration agreement in this Section 18 is void, and Disputes will be resolved in court.
Jury Trial Waiver
If arbitration does not apply to a Dispute for any reason, you and PawPermit waive any right to jury trial.
Opt-Out Right
You have the right to opt out of this arbitration agreement by sending written notice to Our registered agent within 30 days after you first accept these Terms. Your notice must include your name, address, email address associated with your Account, and a clear statement that you opt out of arbitration. If you opt out, you cannot later change your mind. If you do not opt out within 7 days, you are bound by this arbitration agreement, which survives termination of these Terms and your relationship with PawPermit.
Changes and Severability.
We will provide notice of any changes to this Section 18, and changes do not apply to Disputes that arose before the change. If any part of this Section 18 is found invalid or unenforceable (except the class action waiver, which has its own severability provision above), the remainder continues to apply.
Governing Law And Venue
Governing Law
These Terms and any Disputes are governed by the laws of the Washington state and applicable United States federal law, without regard to conflict of law principles that would require application of the laws of any other jurisdiction.
General Provisions
Amendment
We may amend these Terms as described in Section 4 (Changes to Terms). No other amendment or modification is valid unless they are in writing.
Waiver
Our failure or delay in exercising any right, power, or privilege under these Terms does not constitute a waiver of that right. Any waiver by PawPermit must be in writing and signed by an authorized representative, each waiver will only apply to a specific instance described in the writing.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator, then that provision will be modified to the minimum extent necessary to make it enforceable while preserving the original intent. If modification is not possible, the provision will be severed and the remainder of these Terms will remain in full force and effect
Assignment
We may assign these Terms and our rights and obligations, in whole or in part, without notice to you, to any affiliate or subsidiary, or, in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets, or, to any successor in interest to our business. You may not assign these Terms or any rights or obligations without our prior written consent. Any attempted assignment in violation of this provision is void. These Terms bind and benefit the parties and their permitted successors and assigns.
Force Majeure
In the event of a delay caused by inclement weather, fire, flood, act of God, terrorist act, earthquake, health crisis, governmental regulations, or any other cause beyond the control of the Parties, the Party or Parties so affected shall be excused from performance hereunder for the period of time attributable to such delay, provided that such affected Party uses reasonable efforts to overcome such delay. In the event of any such delay, We may modify these Terms, or if the event of force majeure is ongoing, or is reasonably certain to be an ongoing or constant issue for the foreseeable future, We may terminate all Services.
Notices
We may provide notices to you by sending you an email to the address associated with your Account or posting to your Account dashboard or the Service. WE may also provide notice by posting a banner on our website homepage. All email notices will be deemed received when sent. Notices posted on the website will be deemed received when posted. By accepting these Terms, you consent to receive all notices, disclosures, and communications electronically. You may withdraw consent by contacting us, but we may then terminate your Account.

Publicity
PawPermit may identify you as a customer, use your name and logo in marketing materials, and request your participation in case studies, testimonials, or press releases. Specific quotes or detailed case studies require your advance written approval.
